Asana was co-founded by Dustin Moskovitz, who had been chief technology officer and vice president of engineering at Facebook, and Justin Rosenstein, a former Facebook engineering manager and Google product manager. Moskovitz has been a director since December 2008 and chairman since December 2019, and was chief executive from October 2010 to July 2025, chief financial officer from 2009 to 2017 and secretary from 2009 to 2017. Dan Rogers, formerly chief executive of LaunchDarkly, succeeded him as chief executive in July 2025.1 In 2016 Sam Altman led a 50-million-dollar investment in the company.2

Control

According to the company's 2026 proxy statement, Moskovitz held 38.6 percent of the Class A and 87.0 percent of the Class B common stock, 74.2 percent of the total voting power, through direct holdings, the Dustin A. Moskovitz Trust of December 27, 2005, a Roth IRA and 1,720,916 Class A shares held by the Good Ventures, on whose board "Mr. Moskovitz and his spouse serve as directors." On September 7, 2022, he acquired 19,273,127 Class A shares in a private placement, granting Asana an irrevocable proxy over them.1

The Board

Adam D'Angelo, founder and chief executive of Quora and Facebook's chief technology officer from 2006 to 2008, was a director of Asana from December 2008 and did not stand for re-election in 2026. Matthew Cohler, a partner at Benchmark Capital since 2008, a former Facebook vice president of product management and a director of KKR, was a director from November 2009 and resigned in 2026. Andrew Lindsay, a director since 2021, is a corporate vice president at Microsoft.1 D'Angelo was also a director of OpenAI; in October 2023 Politico noted that Asana and OpenAI shared him as a board member.2

The 2026 proxy statement listed among related-person transactions for the fiscal year ending January 31, 2026: 300,000 dollars of AI services bought from OpenAI, noting that "Adam D'Angelo, a member of our Board, is a member of OpenAI's Board of Directors," and 300,000 dollars of Asana subscriptions sold to OpenAI; 1.1 million dollars of AI services bought from Anthropic, noting that "Dustin Moskovitz, Chairman of our Board of Directors and our former Chief Executive Officer, has a minority ownership interest in Anthropic," and 600,000 dollars of subscriptions sold to it; subscriptions sold to Quora, the Environmental Defense Fund, of which Cohler is a trustee, and Gusto; and advertising bought from Microsoft and rent paid to HubSpot, on whose board the lead independent director, Lorrie Norrington, sits.1
